Terms of Service

Please read these terms carefully before using Amazing Resources' services.

1. Acceptance of Terms

By accessing or using SECURE NEW HORIZONS SRL's services (operating as amgres.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all services including mobile application development, backend development, and full-stack ("Amber") solutions provided through our website amgres.com.

2. Service Offerings

Amazing Resources offers four primary service categories:

  • Amber Plans (Starter / Standard / Pro): Full-stack managed solutions — Android app, backend API, managed hosting, and ongoing maintenance. The most complete offering for small businesses.
  • Advanced Mobile Plans: Professional Flutter applications (iOS + Android) with source code delivery. No managed backend included.
  • Backend API Plans: Standalone backend development — Node.js API, database, managed hosting, and maintenance. No mobile app included.
  • Ascend Plans: Enterprise-grade microservices architectures for complex, scalable systems.

Platform Availability by Plan

Amber Starter: Android only (.apk). — Amber Standard & Pro: Android + iOS (.apk + .ipa) with managed API. — Advanced Mobile: iOS + Android with source code delivery.

3. Pricing and Payment Terms

3.1 Published Pricing

All pricing is displayed on our website and is subject to the terms outlined in this agreement. Prices are provided in USD and are valid at the time of quote.

3.2 Initial Deposit

Upon acceptance of a service plan, clients must pay an initial deposit of 25% of the total project cost to commence work. This deposit is non-refundable once development has begun.

3.3 EU Right of Withdrawal Waiver

Important Notice for EU Clients

Under EU Directive 2011/83/EU, consumers ordinarily have a 14-day right to withdraw from a service contract. However, this right is waived under Article 16(a) of the Directive when the consumer has explicitly requested that performance begin immediately and acknowledged that the withdrawal right is lost once the service has fully commenced.

By accepting these Terms and proceeding with payment, you confirm that you request work to begin immediately upon receipt of your deposit, and you acknowledge that your right of withdrawal is waived from the moment development commences.

3.4 No Refund Policy

Strictly No Refunds

All payments are final and non-refundable. We are a budget-focused company dedicated to helping small businesses afford quality mobile applications. Once development begins, no refunds will be issued under any circumstances.

Quality is guaranteed through our support window, bug fixes, and ongoing communication during the development process. If you have concerns about your project, please contact us immediately so we can address them during development.

3.5 Additional Features

The base pricing includes standard features. Additional features may incur extra costs, including but not limited to:

  • Payment gateway integration (Stripe, PayPal, etc.)
  • Biometric authentication (fingerprint, face recognition)
  • File upload and storage functionality
  • Custom charts and data visualization
  • Custom authentication systems beyond standard session/token auth
  • Third-party API integrations not included in the base plan
  • Additional screens beyond the plan limit
  • Additional API endpoints beyond the plan limit

3.6 Recurring Charges

Backend API and Amber plans include monthly subscription fees for managed hosting, maintenance, and support. These fees are billed monthly and must be paid to maintain service continuity.

3.7 Payment Schedule

  • 25% deposit upon project acceptance
  • 50% upon completion of development and internal testing
  • 25% final payment upon delivery and client acceptance

3.8 Late Payments

Failure to pay within 15 days of invoice may result in suspension of services, including hosting and support. A late fee of $25 or 5% of the outstanding balance (whichever is greater) may be applied.

4. Intellectual Property & Source Code

4.1 Source Code Ownership by Plan Type

Plans That Include Source Code

The following plans deliver full source code as part of the agreed deliverables:

  • Advanced Mobile Plans — complete Flutter source code (iOS + Android)
  • Backend API Plans — complete Node.js/Express backend source code
  • Ascend Plans — complete microservices source code and infrastructure configuration

For these plans, upon full payment the client receives ownership of the delivered source code. SECURE NEW HORIZONS SRL retains no ongoing rights to that code once transferred, and sections 4.4 and 4.5 (responsibility transfer) apply from the moment of delivery.

Amber Plans — Source Code Not Included by Default

Under Amber Plans (Starter, Standard, Pro), SECURE NEW HORIZONS SRL retains exclusive ownership of all source code. Source code is not included in the standard deliverable and is not provided to clients as part of the base service.

Amber clients receive a fully functional compiled application and access to the managed hosted API, but do not receive source code files, repositories, or development assets under the standard agreement.

Amber clients may purchase the source code separately at any time — see section 4.4. Upgrades to the application may be requested at any time and will be reviewed, quoted, and implemented under our standard process.

4.2 Client Content and Data

Clients retain ownership of all content, data, branding materials, and assets provided to Amazing Resources. We receive a license to use these materials solely for the purpose of delivering the contracted services.

4.3 Application Deliverables (Amber Plans)

Deliverables depend on the Amber plan selected:

Amber Starter

Deliverable is a compiled .apk / .aab file for distribution on the Google Play Store. iOS (iPhone) is not included in this tier.

Amber Standard & Amber Pro

Deliverables include both a compiled .apk / .aab (Android) and a compiled .ipa (iOS / iPhone). These plans also include a managed REST API hosted on our infrastructure, available for use both within the mobile app and externally. Basic API documentation is provided (list of endpoints with usage examples).

Source code is not included in any deliverable. Clients may purchase the source code separately at any time. Until source code ownership is transferred, a monthly maintenance fee applies to cover hosting, upkeep, and continued API access.

4.4 Transfer of Responsibility Upon Source Code Delivery or Purchase

Full Responsibility Transfer

Upon purchasing the source code, the client assumes full and exclusive responsibility for the software. SECURE NEW HORIZONS SRL is immediately and permanently relieved of all obligations related to the software, including but not limited to:

  • Maintenance, updates, and bug fixes
  • Hosting infrastructure and server costs
  • Security monitoring and incident response
  • API availability and uptime
  • Data integrity and backups

SECURE NEW HORIZONS SRL shall bear no liability whatsoever for any damages, losses, or costs arising after source code transfer, including but not limited to: cyber attacks (DDoS, XSS, SQL injection, brute force, or any other form), data breaches, infrastructure failures, third-party service outages, or any direct, indirect, incidental, or consequential damages — regardless of cause.

The client acknowledges that operating software independently requires appropriate technical expertise and security measures, and accepts sole responsibility for procuring and maintaining these.

4.5 Portfolio Usage

SECURE NEW HORIZONS SRL reserves the right to showcase completed projects in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.

4.6 Quality Guarantee

Our Budget-Friendly Commitment

We are a budget company focused on ensuring small businesses can have their own functional mobile application without breaking the bank. Quality is guaranteed through:

  • A dedicated support window during and after development
  • Bug fixes for issues related to original functionality
  • Regular communication and updates throughout the development process
  • Testing and quality assurance before delivery

5. Google Play Store Deployment

5.1 Upload Assistance

Amazing Resources offers assistance with uploading applications to the Google Play Store. This includes guidance on:

  • Creating a Google Play Developer account
  • Preparing store listing materials (descriptions, screenshots)
  • Uploading the application binary
  • Basic Play Store configuration

5.2 Developer Account Responsibility

Clients are responsible for:

  • Creating and maintaining their Google Play Developer account ($25 one-time fee to Google)
  • Compliance with Google Play policies and guidelines
  • Responding to Google Play review feedback
  • Managing app updates after initial deployment (unless covered under maintenance plan)

5.3 No Guarantee of Approval

While we follow Google Play best practices, Amazing Resources cannot guarantee that Google will approve the application for publication. We will work with clients to address any rejection reasons within the scope of the original project.

6. Project Deliverables & Timeline

6.1 Delivery Timeframes

Estimated delivery times are provided for each plan and begin upon receipt of the initial deposit and all required materials from the client. These are estimates and may vary based on:

  • Complexity of requirements
  • Timely client feedback and approvals
  • Scope changes or additional feature requests
  • Third-party dependencies

6.2 Revisions

Each plan includes a specified number of revision rounds. Revisions must be requested within the timeframe specified in the plan (typically 60 days from delivery). Additional revisions beyond the included amount may incur additional charges.

6.3 Scope Changes

Changes to the original project scope may result in additional costs and timeline extensions. All scope changes must be agreed upon in writing before implementation.

7. Maintenance and Support

7.1 Included Maintenance

Backend API and Amber plans include ongoing maintenance covering:

  • Server and database maintenance
  • Security patches and updates
  • Backup management
  • Performance monitoring
  • Bug fixes related to original functionality

7.2 Maintenance Limitations

Maintenance does not include:

  • New features or functionality
  • Design changes
  • Changes to business logic
  • Integration with new third-party services

7.3 Advanced Mobile Plans

Advanced Mobile plans do not include ongoing maintenance. Post-delivery support is limited to the specified revision period. Additional maintenance can be arranged separately.

8. Warranties and Limitations

8.1 Warranty Period and Quality Guarantee

We warrant that delivered applications will function substantially as described for a period of 30 days from delivery. We will correct any defects or errors reported during this period at no additional charge.

Quality is guaranteed through our support window, bug fixes, and ongoing maintenance (for applicable plans).

8.2 Service "As Is"

Beyond the warranty period, services are provided "as is" without warranties of any kind, express or implied. However, Backend API and Amber plans include ongoing maintenance and bug fixes as part of the monthly subscription.

8.3 Third-Party Services

We are not responsible for the availability, functionality, or policies of third-party services including Google Play Store, hosting providers, or integrated APIs.

8.4 Limitation of Liability

SECURE NEW HORIZONS SRL's total liability for any claim arising from these services shall not exceed the total amount paid by the client for the specific service giving rise to the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

9.1 Client Termination

Clients may terminate services with written notice. Upon termination:

  • All outstanding payments become immediately due
  • The initial deposit is non-refundable
  • Clients receive work completed up to the termination date
  • Source code remains property of Amazing Resources

9.2 Service Provider Termination

We may terminate services if:

  • Client fails to make payments within 30 days of invoice
  • Client violates these Terms of Service
  • Client requests services that violate laws or regulations

9.3 Effect of Termination

Upon termination of subscription-based services (Backend API or Amber plans), hosting and maintenance services will cease. Applications may become unavailable within 30 days unless alternative arrangements are made.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes but is not limited to:

  • Business strategies and plans
  • Customer data
  • Financial information
  • Technical implementations (to the extent applicable)

This obligation continues for 2 years after termination of services.

11. General Provisions

11.1 Changes to Terms

We reserve the right to modify these Terms of Service at any time. Clients will be notified of material changes via email. Continued use of services after changes constitutes acceptance.

11.2 Governing Law

These terms are governed by the laws of Romania, without regard to conflict of law principles.

11.3 Dispute Resolution

Any disputes arising from these terms shall first be attempted to be resolved through good faith negotiation within 30 days of written notice. If unresolved, disputes shall be submitted to the competent courts of Romania, in accordance with Romanian law and applicable EU regulations. Consumer clients based in the European Union retain the right to bring proceedings before the courts of their country of residence, as provided by EU Regulation No. 1215/2012 (Brussels I Recast).

EU Online Dispute Resolution

EU-based clients may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr to resolve disputes without going to court.

11.4 Force Majeure

SECURE NEW HORIZONS SRL shall not be liable for any delay or failure to perform obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, civil unrest, government actions, power outages, internet or infrastructure failures, cyberattacks on third-party services, or actions of hosting providers (including Vultr, AWS, or equivalent). In such events, we will notify the client as soon as practicable and resume performance as soon as reasonably possible.

11.5 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

11.6 Entire Agreement

These Terms of Service, along with any signed service agreements, constitute the entire agreement between the parties and supersede all prior understandings.
